AUCTION FINAL BID DATE - MAY 6, 2025 NOON PDT, NOTIFICATION OF DISPOSITION OF COLLATERAL BY PUBLIC SALE, Edward P. Roski, Jr., Trustee of the Edward P. Roski, Jr. Living Trust UID 11/1/1987, as amended (“Secured Party”), holds a first priority security interest in the assets of Craig Cavileer, individually and in his capacity as Trustee of the Craig and Charlene Cavileer Family Trust (collectively, the “Debtor”), which are described in the Summary of Interest section below (collectively, except as modified herein, the “Collateral”) pursuant to certain Pledge Agreements executed by the Debtor in favor of Majestic Realty Co., a California corporation (“Majestic”) (the “Pledge Agreements”) which secure the obligations set forth in certain promissory notes executed by the Debtor in favor of Majestic (collectively, the “Notes”). A fifty percent (50%) interest in Exchange Hotels Management Holdco, LLC, a Delaware limited liability company, which holds a one hundred percent (100%) membership interest in Exchange Hotels Management, LLC, a Delaware limited liability company, which is the management company of (i) Stockyards Station Hotel, L.P., a Texas limited partnership, which owns the 5-story, 101-room Hyatt Place Forth Worth Historic Stockyards hotel located on 3.394-acres at 132 E Exchange Ave, Fort Worth, TX 76164, (ii) Stockyards Station Hotel II, LLC, a Delaware limited liability company, which owns the 6-story 200-room Hotel Drover located on 6.68-acres at 200 Mule Alley, Fort Worth, TX 76164, and (iii) Delightful Boutiques 31, LLC, a Delaware limited liability company, which owns the 3-story, 52-room Stockyards Hotel located on 1.95-acres at 109 E Exchange Ave, Fort Worth, TX 76164. A forty two percent (42%) interest in FW Boutique Hotels, LLC, a Delaware limited liability company, which holds a fifty percent (50%) membership interest in Delightful Boutiques 31, LLC, a Delaware limited liability company, which owns the 3-story, 52-room Stockyards Hotel located on 1.95-acres at 109 E Exchange Ave, Fort Worth, TX 76164. A forty five percent (45%) interest in FW Coliseum, LLC, a Delaware limited liability company, which holds a fifty percent (50%) membership interest in Stockyards Coliseum, LLC, a Texas limited liability company, which operates the Cowtown Coliseum, a 2,400- seat arena located at 121 E Exchange Ave, Fort Worth, TX 76164. The Cowtown Coliseum land and improvements are owned by the city of Fort Worth. A forty four percent (44%) interest in FW Marine Exchange Hotels, LLC, a Delaware limited liability company, which holds a thirty two and 496/1000 percent (32.496%) limited partnership interest in Stockyards Station Hotel, L.P., a Texas limited partnership, which owns the 5-story, 101-room Hyatt Place Fort Worth hotel located on 3.394-acres at 132 E Exchange Avenue, Fort Worth, TX 76164. A thirty two and 29/100 percent (32.29%) interest in Majestic Everman Investor, LLC, a Delaware limited liability company, which holds a fifty percent (50%) membership interest in Fort Worth Everman/Risinger Development, LLC, a Texas limited liability company, which owns and operates three industrial warehouses and undeveloped land for a combined 157.44 acres. The warehouses are located at 473 Successful Drive, 100 Successful Drive, and 9401 Hemphill Street in Fort Worth, TX 76134 and are 258,213 square feet, 159,932 square feet and 781,530 square feet, respectively. A twenty six and 923/1000 percent (26.923%) interest in Majestic Mercantile, LLC, a Delaware limited liability company, which holds a seventy eight and 788/1000 percent (78.788%) membership interest in MB Mercantile & Supply, LLC, a Texas limited liability company, which does not own or operate any properties or businesses and is in the process of being dissolved.
